Terms of Reference
Article 1 Name
The name of the organization shall be Japan Electronic Data Interchange Council (JEDIC) (hereinafter referred to as the "Council")
Article 2 Objective
The objectives of the Council are to promote information integration in industry and contribute to the construction and development of infrastructures for information sharing between industries through the study of cross-industry issues and broad information exchange regarding EDI (Electronic Data Interchange), electronic tags, etc. in Japan.
Article 3 Activities
The Council shall undertake the following activities to achieve the objectives in the previous article:
- Activities related to the standardization of information sharing and business integration infrastructures using EDI and electronic tags
- Activities related to the dissemination of information sharing and business integration infrastructures using EDI and electronic tags
- Activities related to the internationalization of information sharing and business integration infrastructures using EDI and electronic tags
- Other activities related to the realization of the objectives in the previous article
Article 4 Members
- Members of the Council shall be industry associations and other organizations that agree with the objectives in Article 2.
- Related government institutions and other organizations approved by the Council may participate in the Council as observers.
Article 5 General Meeting
- General Meetings shall be held by the Council.
- General Meetings shall consist of Council members.
- General Meetings shall be held, in principle, within three months after the end of the previous fiscal year when called by the Chairperson.
- General Meetings shall be held with the attendance of a majority of its members. The resolution shall be approved by the majority of its attendees. In the event the voting results in a tie, the decision shall rest with the Chairman of the General Meeting.
- The Chairman of the General Meetings shall be the Chairperson of the Council or an acting chairman appointed by the Chairperson.
- General Meetings shall decide important matters related to running the Council.
Article 6 Officers
- The Council shall have one Chairperson, and up to two Vice-chairpersons as required.
- The Chairperson and Vice-chairperson shall be elected at General Meetings.
- The term of office of the Chairperson and Vice-chairperson shall be one year in principle, and they shall be eligible for reappointment.
- The Chairperson shall represent the Council and oversee the operations of the Council.
- The Vice-chairperson shall assist the Chairperson in the discharge of his/her duties and shall act as the Chairperson as required.
Article 7 Steering Committee
- A Steering Committee will be set up under the Council, with member representatives.
- The duties of the Steering Committee include Council management, and planning and coordination of items required for the execution of the Council’s operations.
- The term of office of Committee members shall be one (1) year, in principle, and they shall be eligible for reappointment.
- The Steering Committee shall have a Chairperson selected by the Committee members.
- A subcommittee may be set up to assist the Steering Committee.
Article 8 Special Committee
- A Special Committee may be set up under the Council as required to study cross-industry issues for information sharing and establishment of business integration infrastructures.
- The Special Committee shall have a Chairperson selected by the Committee members. Article 9 Sectional Committees
Article 9 Sectional Committees
- Sectional Committees may be set up as required under the Steering Committee for dissemination, standardization, internationalization, review of technology, and other activities related to information sharing.
- Sectional Committee shall have a Chairperson selected by the Sectional Committee members and approved by the Steering Committee.
Article 10 Membership
Those wishing to become members of this Council must submit the separate Notice for Application of Membership to the secretariat and obtain approval from the Steering Committee.
Article 11 Cancellation of Membership
Members wishing to cancel membership must submit the separate Notice for Withdrawal of Membership.
Article 12 Operating Expenses
The Council’s operating expenses shall be appropriated from the Japan Information Processing Development Corporation (JIPDEC) project costs.
Article 13 Fiscal Year
The fiscal year for the Council shall be from April 1 of each year through to March 31 of the following year.
Article 14 Administrative Work
Administrative work for the Council shall be performed by the Japan Information Processing Development Corporation.
Article 15 Other
The Council shall be dissolved by a resolution at a General Meeting.
Supplementary Provisions(December 21,2007)
- This Terms of Reference shall come into force on the date passed at the 2007 extraordinary general meeting.
- The members of the Japan Electronic Data Interchange Council shall become the members of the Next Generation Japan Electronic Data Interchange Council with its establishment.
- All rights and duties of the Japan Electronic Data Interchange Council shall be comprehensively succeeded by the Next Generation Japan Electronic Data Interchange Council with its establishment.
- The term of office of the officers appointed at the establishment of the Next Generation Japan Electronic Data Interchange Council shall be to the day of the General Meeting held in June 2008 regardless of the provision in Article 6.3.
- The first fiscal year of the Next Generation Japan Electronic Data Interchange Council shall be from the day of its establishment to March 31, 2008 regardless of the provision in Article 13.
